Venture Capital Deals

Splice Machine, a San Francisco-based provider of an SQL-on-Hadoop database for big data applications , has raised $15 million in Series B funding. InterWest Partners led the round, and was joined by return backer Mohr Davidow Ventures. www.splicemachine.com

nCino Inc., a Wilmington, N.C.,-based provider of cloud-based operating solutions to the financial services industry, has raised $10 million in VC funding from Wellington Management Co.www.ncino.com

Primary Data, a Salt Lake City-based provider of software-defined data center technologies, has expanded its Series B round from $50 million to $60 million. Mercato Partners came in as a new investor. Prior backers include Accel Partners, Battery Ventures, Pelion Venture Partners, Lightspeed Venture Partners and Wing Capital Group. www.tonian.com

Levo League, a New York-based organization for Gen Y women in the workplace, has raised $7 million in its second round of angel funding. New backers include Lubna Olayan (CEO of Olayan Financing Co.) and Véronique Morali (CEO of Webedia / Allocine). Early backers included Sheryl Sandberg and Gina Bianchini.

Capillary Technologies, a provider of cloud-based software for retailers, has raised an undisclosed amount of new VC funding from American Express Ventures. The company previously raised over $15.5 million from Sequoia Capital and Norwest Venture Partners and Qualcomm Ventures.www.capillarytech.com

DeviceAuthority, a provider of security and device authentication solutions for multi-factor and machine-to-machine applications, has raised an undisclosed amount of Series A funding led by Alsop Louie Partners. www.deviceauthority.com

Shazam, a London–based music discovery app, is seeking to raise $20 million in new VC funding at around a $500 million valuation, according to Re/Code. Some new investors are expected in the round. To date, Shazam has raised around $32 million from firms like Acacia Capital, DN Capital, Kleiner Perkins Caufield & Byers and Institutional Venture Partners. www.shazam.com

Private Equity Deals

Aeropostale Inc. (NYSE: ARO), a New York-based teen apparel retailer, is “considering raising capital from private equity firms,” according to Reuters. Barclays is managing the process. Private equity firm Sycamore Partners acquired around an 8% stake in the company last fall.www.aeropostale.com

GetLenses.co.uk, a British online contact lens retailer, has acquired Vision Direct and Lensbase, which sell contact lenses, contact lens solutions and prescription glasses to consumers in the Netherlands, Spain and the UK. No pricing terms were disclosed, except that the deal was financed via new funding from existing GetLenses shareholders Fidelity Worldwide Investments, Hargreave Hale and Artemis Investment Management. www.GetLenses.co.uk

Pure Gym, a British low-cost fitness club chain owned by CCMP Capital, has agreed to merge with rival Gym Group, whose backers include Bridges Ventures and Phoenix Equity Partners. No financial terms were disclosed. www.puregym.com

IPO’s

Amber Road, an East Rutherford, N.J.-based provider of cloud-based global trade management solutions, has filed for a $75 million IPO. It plans to trade on the NYSE under ticker symbol AMBR, with Stifel serving as lead underwriter. The company reports $14 million in net income on $52.5 million in revenue for 2013, compared to $2 million of net income on $43 million in revenue for 2012. Shareholders includes Cross Atlantic Capital Partners (34.8% pre-IPO stake), Updata Partners (18.6%), Goldman Sachs (15.6%) and NJTC Investment Fund (7.1%). www.amberroad.com

Atento, a Spain-based call center company owned by Bain Capital, is considering a U.S. IPO for later this year, according to Reuters. Bain acquired Atento from Telefonica in late 2012 for approximately $1.4 billion. Eighteen months earlier, Telefonica had canceled a planned €580 million IPO of the unit. www.atento.com

China Wafer Level CSP, a Chinese provider of wafer-level chip size packaging technology, raised $118 million in a Shanghai IPO. Its initial market cap is around $780 million. Shareholders include Infinity Group and CVSC. www.wlcsp.com

Gilt Groupe, a New York-based flash sales site for luxury goods, has picked Goldman Sachs to lead its IPO, according to Bloomberg. The company has raised over $200 million in VC funding from firms like Matrix Partners, General Atlantic, Goldman Sachs, NEA, DFJ, SoftBank Capital and Pinnacle Ventures. www.gilt.com

ISS, a Danish outsourcing company backed by EQT Partners and Goldman Sachs, is planning to publish its flotation plans next week, according to Reuters. Goldman Sachs and UBS will be listed as global coordinators. www.issworld.com

La Quinta Holdings Inc., an Irving, Texas-based midscale hotel chain owned by The Blackstone Group, has filed for a $100 million IPO. J.P. Morgan and Morgan Stanley are serving as lead underwriters. The company reports $9.7 million in net income on $659 million in revenue for the first nine months of 2013, compared to $42 million in net income on $617 million in revenue for the year-earlier period. Blackstone paid $2.3 billion to acquire La Quinta in late 2005. www.laquinta.com

Mediwound Ltd., an Israel-based developer of burn and chronic wound management drug, has filed for an $86.25 million IPO. It plans to trade on the Nasdaq under ticker symbol MDWD, with Jefferies, Credit Suisse and BMO Capital Markets serving as lead underwriters. Shareholders include Clal Biotechnology Industries (65.3% pre-IPO stake). www.mediwound.com

NephroGenex Inc., a Research Triangle Park, N.C.-based developer of therapeutics to treat kidney disease, raised $37 million in its IPO. The company priced 3.1 million shares at $12 per share (low end of range), and will trade on the Nasdaq under ticker symbol NRX. Aegis Capital served as lead underwriter. Shareholders in the pre-revenue company include Care Capital (59.9% pre-IPO stake),Rho Ventures (23.1%) and BioStratum Inc. (9.4%). www.nephrogenex.com

New Look, a UK-based fashion retailer backed by Apax Partners and Permira, does not have any “imminent plans” to go public, according to a statement from company CEO Anders Kristiansen.www.newlook.com

Virgin America, a U.S. air carrier in which Richard Branson’s Virgin Group holds a minority position, has picked Barclays and Deutsche Bank to lead an IPO that could come in the second half of 2014, according to the FT. www.virginamerica.com

OTHER DEALS

Mallinckrodt PLC (NYSE: MNK) has agreed to acquire Cadence Pharmaceuticals Inc. (Nasdaq: CADX) for approximately $1.3 billion, or $14 per share (26.47% premium to yesterday’s closing price). Current Cadence shareholders include Domain Associates (11.25m shares), Frazier Healthcare Ventures (9.1m), Wellington Management (6.9%), Versant Ventures (4.7m), Bay City Capital (2.8m) and NEA (2.4m). www.cadencepharm.com

Adveq Real Assets has acquired 18,000 hectares of almond orchards in Victoria, Australia for A$211 million. Co-investors were Municipal Employees’ Retirement System and Danica Pension.www.adveq.com

Grupo Modelo has agreed to sell its chain of 878 Extra convenience stores in Mexico to Circle K, a subsidiary of Canada’s Alimentation Couche-Tard Inc. (TSX: ATD). No financial terms were disclosed. www.gmodelo.com

Microchip Technology Inc. (Nasdaq: MCHP) has agreed to acquire Sunnyvale, Calif.-based chipmaker Supertex Inc. (Nasdaq: SUPX) for $394 million (including around $148m of cash on hand), or $33 per share. www.supertex.com

The Carlyle Group has agreed to sell Veyance Technologies Inc., a Fairlawn, Ohio-based maker of rubber and plastic products, to Germany’s Continental AB (DB: CON). The deal is valued at approximately €1.4 billion. www.goodyearep.com

Mast Therapeutics Inc. (NYSE: MSTX) has agreed to acquire Aires Pharmaceuticals Inc., a San Diego–based developer of therapies to treat pulmonary vascular disorders like pulmonary arterial hypertension and pulmonary hypertension due to heart failure. No financial terms were disclosed. Aires had raised over $20 million in VC funding from firms like MPM Capital and ProQuest Investments. In late 2010, Novartis had signed an exclusive option to acquire Aires for up to $250 million. www.airespharma.co

Mid Europa Partners has agreed to sell its 39.23% stake in T-Mobile Czech Republic to Deutsche Telekom for €828 million in cash. The deal is expected to close later this month. www.t-mobile.cz
